FleetCor Announces Mannatec®, Inc. Acquisition

Atlanta (October 15, 2004) – FleetCor Technologies, Inc. (“FleetCor”) and Mannatec, Inc. (“Mannatec”) are pleased to announce that FleetCor has acquired Mannatec. The Mannatec acquisition strengthens FleetCor’s position as the preeminent provider of fleet card issuing and processing services for petroleum marketers in North America.

Since 1984, Mannatec has provided market-leading software solutions to independent petroleum marketers who desired to issue proprietary fleet cards. Today, Mannatec provides fleet card processing software services for more than 370 marketers who collectively operate over 4,500 fueling locations throughout the U.S. “FleetCor has the capital and resources to help Mannatec grow and compete more effectively in today’s competitive processing market. Mannatec’s customers will benefit greatly from new products and services that the combination can provide,” says Kerry Myrick, Mannatec’s founder and President. Mannatec will operate as an independent, wholly-owned subsidiary of FleetCor. The company will continue to be run by Mr. Myrick and remain headquartered in Alpharetta, Georgia.

FleetCor, established in 2000, is one of the leading providers of commercial fleet card issuing and processing services in North America. Today, FleetCor’s card programs are marketed under a variety of private-label and proprietary brand names, including Fuelman, FleetNet, CFN, and Mannatec. “Mannatec helps round out FleetCor’s family of fleet card solutions,” says FleetCor Chairman and CEO Ron Clarke. “We can now provide more choices to petroleum marketers who are interested in issuing their own proprietary fleet cards.” FleetCor and its subsidiaries currently employ over 400 employees located in 20 offices across the U.S. FleetCor is headquartered in Atlanta and is privately-owned by a group of institutional private equity investors, including Summit Partners based in Boston.

With this acquisition, FleetCor now services over 120,000 business fleets, directly and indirectly, representing approximately $4 billion dollars in annual purchases.
